  • Browser Information Things your browser tells us, like what kind of device youre using and your language setting.
  • Confidential Information Sensitive info like personal data, login details, and course activity. We protect this and wont share it unless we have to. It doesnt include public info or things were not given access to, like your companys secret plans or source code.
  • Content All the materials on the platform courses, files, videos, documents, etc.
  • Cookies / Tracking Info Small files we use to remember who you are, how you use the site, and to improve your experience.
  • Device Information Details about your phone, laptop, or other device like its type, screen size, and when you used it.
  • Framedia Thats us: the company running the platform and providing the service.
  • Hosting Provider A trusted company (like Amazon Web Services) that securely stores everything and keeps the platform running smoothly.
  • IP Address A number that identifies your internet connection. We use this to help keep things secure and running properly.
  • License Your right to use our services you dont own the content, but you can access and use it while youre subscribed.
  • Personal Data Information that identifies you like your name, email, or anything connected to your account.
  • Platform The website or system where all our training tools and services are offered.
  • Principal Someone who signed up on your behalf like a manager or HR team who gave you access.
  • Reseller Someone who buys a group of licenses and gives them out to other users, either within their company or to others.
  • Service / Services Everything we offer on the platform the tools, content, support, and system itself.
  • Service Levels How reliable the system is. We aim for it to be available at least 99% of the time each month.
  • Session Information Data about when and how long youve been logged in, used to manage access and security.
  • Sub-User A user added by someone else (like a team leader). You get full access, but they manage the account.
  • Support Help from our team when somethings not working or if you have questions.
  • Suspension / Termination We might need to pause or end your access if something goes wrong like a security issue or a rule being broken.
  • Terms / T&C This whole document including any updates or extra policies that are linked to it.
  • Third Party Anyone who isnt you or us like a tech provider, government agency, or external support team.
  • User Content Anything you upload or post like files, answers, documents. Youre responsible for your own content.
  • We / Us / Our Thats Framedia and the people or companies we work with to deliver the services.
  • You / Your Thats you, the person using our services whether as an individual or part of a team.

Setting Up and Using Your Account

To get the most out of our services, youll need to create an account. Its quick and easy just give us some basic info like your name and email address, and youre good to go.

Please make sure the info you give us is real and up to date. If something changes (like your email address), update it so we can stay in touch when needed.

You're responsible for keeping your login details (especially your password) safe. If someone else gets access to your account because your password wasnt secure, thats on you so choose something strong and dont share it around.

Also, please dont try to use someone elses account or pretend to be someone youre not. Thats not cool, and we might have to suspend your access if we catch it happening.

Whats Okay (and Not Okay) to Do

  4. Pretend to be someone else or use fake details

If we think you're misusing the platform or breaking these rules, we may pause or stop your access especially if it risks other users or our systems. We're here to help you learn, but we do need to protect the space for everyone.

Your Privacy and Data

We take your privacy seriously and we mean that. When you use our services, we collect just enough personal information to make things work smoothly and help you get the most out of your learning experience.

This usually includes things like:

  3. What courses youve taken and how you did

We only use this data to:

  1. Run the platform

Who Owns What

All the content on our platform like lessons, videos, logos, designs, and any downloadable materials belongs to us or the people who created it (like our training partners or content providers). It's protected by copyright and other intellectual property laws.

Youre welcome to use this content while you're learning with us thats what its there for. But just so were clear:

  1. You cant copy, share, or sell any of our materials without permission.
  2. You cant claim our content as your own.
  3. You cant use our name, logo, or branding in a way that suggests weve endorsed something when we havent.

Basically, enjoy the materials for personal learning, but dont use them for anything else unless we say its okay.

Service Availability and Making Changes

We do our best to keep the site running smoothly but sometimes things happen. We cant promise that everything will always work perfectly 100% of the time. There may be the occasional update, bug fix, or short bit of downtime while we improve things.

We also might change or update our services now and then like adding new features, retiring old ones, or tweaking the way things work. Most changes are for the better, and well try to give you a heads-up when something important is happening.

By continuing to use the platform after changes are made, youre saying Yep, Im okay with this.

If We Need to Suspend or Close Your Account

We really hope it never comes to this but we do have the right to suspend or close your account if something goes seriously wrong.

This might happen if:

  1. You break the rules (see the "Acceptable Use" section)
  2. You use the platform in a harmful or illegal way
  3. You give false information or misuse someone else's account

In most cases, well give you a heads-up first. But if its serious or urgent, we might need to act quickly to protect our system or other users.

You can also stop using our services anytime. If you want your account closed, just let us know no hard feelings.

Just So You Know (Legal Stuff)

We do our best to make sure everything on our site is helpful, up-to-date, and runs smoothly but we cant promise perfection.

That means:

  1. We cant guarantee every feature or course will always work exactly how you expect
  2. We cant take responsibility if you rely on something from our platform and it doesnt go the way you hoped

Basically, you use the site at your own risk. Were not liable for any losses, damages, or issues that might come up from using our services whether its technical problems, delays, or something unexpected.

Were here to help, of course. But legally, we have to say: no guarantees, no warranties, no liability beyond what the law requires.

We respect your privacy and we treat anything private or sensitive that you share with us as confidential.

  1. We wont share your personal info, training results, or any business-related details you give us with anyone else
  2. Well keep your data safe and only use it for the purpose of helping you access and use our platform
  3. If youre using the system as part of a company or organisation, well treat any shared business info the same way

The only exception is if were legally required to share something for example, if a court or regulator formally asks us for it. Otherwise, your info stays private.

Which Laws Apply

This is the full version of the Terms and Conditions, including definitions, responsibilities, disclaimers, and all other clauses.


  1. 1. General Terms and Conditions

    1. 1.1. These terms and conditions (T&C, or "Terms") govern the terms under which you may access and use the products of Framedia, which includes this website and associate sites (as applicable) and the services associated with it (the Service). By accessing, registering for, or using the Service, you agree to be bound by thisdocument.
    2. 1.2. These Terms shall be effective, valid and binding from the time that you agreed to it and will exist up to the time that it is terminated by you or us, save for some provisions which shall remain effective after termination as stated in this T&C, law, rule or regulation.
  2. 2. Definitions

    For the purposes of this document, the following definitions apply:

    1. Account A personal login or user profile that grants access to the platform and records individual activity and usage.
    2. Account Holder The individual who registers for the Services. This includes the Principal Account Holder (or Reseller) in cases involving multiple users under one license.
    3. Applicable Law The laws of the Republic of the Philippines, which govern this agreement and related matters.
    4. Browser Information Technical details sent by your browser (e.g., version, screen size, language settings).
    5. Confidential Information - refers to any non-public information, in any form or medium, that is accessed or becomes known through the use of the Services, and that a reasonable person would understand to be confidential. This includes, but is not limited to:
      • • Personal data,
      • • User training and performance records,
      • • Account credentials,
      • • And any other user-identifiable or sensitive operational data processed by Framedia in the course of providing the Services.
      • Confidential Information does not include :
      • • Information that is or becomes publicly available through no fault of Framedia;
      • • Information that was lawfully known to Framedia prior to disclosure;
      • • Information that is independently developed without reference to the disclosed data;
      • • Or information that is lawfully received from a third party without restriction.
      • Framedia does not require, collect, or process customer business plans, trade secrets, intellectual property, source code, or commercial strategy documents as part of its Services, and therefore does not hold or retain such information.
      • Content All materials accessible through the platform, including courses, videos, files, documents, and other digital assets.
      • Cookies / Tracking Information Small data tools used to remember preferences and monitor engagement, improving user experience and analytics.
      • Device Information Details about the users device, including OS, screen resolution, and timestamps.
      • Framedia Framedia Inc., a corporation registered in the Philippines (SEC No. CS201016102).
      • Hosting Provider A third-party service provider (e.g., AWS) that securely hosts and operates the platform.
      • IP Address A unique identifier for your internet connection, logged for security and performance monitoring.
      • License A limited, non-exclusive, non-transferable right to access and use the Services for personal or internal use only.
      • Personal Data Any information that can identify an individual (e.g., name, email, IP address, login credentials).
      • Platform The learning management system (LMS) and its associated tools and content.
      • Principal A person or organization that registers and pays for others to access the Services (e.g., a supervisor or manager).
      • Reseller A user or organization that purchases licenses on behalf of others, often distributing access within their network.
      • Service / Services All functionality, content, infrastructure, and support provided through the platform.
      • Service Levels Measures of platform uptime and availability. Framedia targets 99% uptime monthly.
      • Session Information Technical records of logins, timestamps, and session tokens.
      • Sub-User An individual granted access under a Principal or Reseller account. Sub-users have full access but are managed by another account holder.
      • Support Technical or customer service provided by Framedia via email, chat, or helpdesk channels.
      • Suspension / Termination Temporary or permanent revocation of access due to violations or security risks. May occur without notice.
      • Terms / T&C This Terms and Conditions of Use document, including all amendments and referenced policies.
      • Third Party Any individual or entity not directly part of Framedia or the user, including vendors, regulators, or partners.
      • User Content / User-Generated Content (UGC) Any content uploaded or submitted by users (e.g., documents, responses, files). Users retain responsibility for all content they submit.
      • We / Us / Our Refers to Framedia Inc., including staff, contractors, affiliates, and licensors acting on its behalf.
      • You / Your / User The individual accessing the Services, whether as an Account Holder, Sub-User, or Principal, including guardians of minors where applicable.
  3. 3. General Terms of Service

    1. 3.1. Framedia reserves the right to modify, suspend, stop or terminate any of its Service without notice, at any time and from time to time.
    2. 3.2. You will not use any device, software, or routine to interfere or attempt to interfere with the proper working of the Service or any Instruction being conducted through the Service.
    3. 3.3. Framedia reserves the right to verify any activity that is done through the Services
    4. 3.4. Service Availability times as stated in our service levels or elsewhere on our website or collaterals are representative of a normal or average service and are not a guarantee of availability.
    5. 3.5. We may, in our absolute discretion, refuse or cancel an account if: (a) Framedia is unable to verify your identity; (b) You do not comply with information requests under clause 3.3; or (c) Framedia reasonably believes you are using the Service or allowing it to be used, in breach of these Termsor any applicable laws, rules or regulations.
  4. 4. Your Obligations

    1. 4.1. You agree to abide by the obligations stated under this paragraph and within the sections 'Terms of Service' and 'Acceptable Use Policy' below.
    2. 4.2. You agree not to alter, modify, or cause the alteration or modification, of the Services, and you further agree not to use the Services for any commercial use, without prior written authority from Framedia.
    3. 4.3. You agree not to use any deep-link, page-scrape, robot, spider or any automated device, program, algorithm or methodology, or any similar or equivalent manual process, to access, acquire, copy or monitor any part of the Services, or in any way reproduce or circumvent its navigational structure or presentation, as well as to obtain or attempt to obtain any material, document or information through any means not purposely made available through the Services.
    4. 4.4. You agree not to gain or attempt to gain unauthorized access to any part or feature of the Services or any other system or network connected to the Services. You also agree not to gather, harvest, or otherwise collect information about others using the Services nor discourage, restrict, prevent or prohibit any other party from using the Service.
    5. 4.5. You agree not to circumvent, disable, or otherwise interfere with security-related features of the Services, including those that prevent or restrict use or copying of any content, material or information available on or through the Services, as well as those that enforce limitations on the use of the Services.
    6. 4.6. You agree to use or access the Services for your information and personal use solely as intended through the provided functionality of the Services. You agree not to copy or download any material or content from or through the Services unless such copying or downloading is explicitly allowed by a visible manifestation thereof such as a download button or a similar link ostensibly displayed. You further agree not to engage or attempt to engage in the use, copying, transmission, broadcast, display, distribution or sale of any of the contents, material or information available on or through the Services, including user comments and the like, other than as expressly permitted herein, or as explicitly indicated in the Services, including use thereof for commercial purposes.
    7. 4.7. You agree that you will not take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Services or any systems or networks connected to the Services.
    8. 4.8. You agree not to incorporate any word in your name, message identification, or custom user title that is defamatory, obscene or profane, or which violates any trademark, service mark, or other intellectual property rights of any third party, including that of Framedia You likewise agree not to use any trademark, trade name, service mark, or logo in a way that is likely or intended to mislead others about the owner or authorized user of such marks, names or logo.
    9. 4.9. You agree not to use any device or routine to interfere or attempt to interfere with the proper working of the Services or any transaction being conducted using the Services, or with any other persons use of the Services. You agree that you will not engage in any activity that interferes with or disrupts the Services or the servers and networks which are connected to the Services.
    10. 4.10. You agree not to use the Services for any purpose that is illegal, unlawful or prohibited by these Terms, or to solicit the performance of any illegal activity or other activity which infringes on the rights of Framedia or others. You further agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on any content, material or information, either in whole or in part, available on or through the Services unless you have been specifically permitted to do so by Framedia.
  5. 5. Honor Code

    1. 5.1. By accessing the Services, you agree to abide by the Honor Code.
    2. 5.2. By enrolling in acourse or training program on this site, you agree that you will:
      1. Be truthful with your personal data and not try to mislead others or misrepresent your identity, your employer or location for any reason;
      2. Complete all tests and assignments on your own, unless collaboration on an assignment is explicitly permitted or required;
      3. Maintain only one user account and not let anyone else use your username and/or password.
      4. Not engage in any activity that would dishonestly improve your results, or improve or diminish the results of others.
      5. Not post information on any website or communication system elsewhere which could help other people by providing them with the answers, or sufficient clues to make the answers obvious.
    3. 5.3. You agree that Honor Code violations will be determined at the sole discretion of directors of Framedia or any supplier duly appointed and authorized by Framedia. to manage this system. You will be notified if a determination has been made that you have violated this Honor Code and you will be informed of the corresponding action to be taken as a result of the violation. Such action may include one or more of the following:
      1. Receiving a zero or no credit for any course or program you have completed;
      2. Having any certificate earned in any course or program revoked or invalidated;
      3. Having your conduct reported to the relevant regulator;
      4. Being unenrolled from any course or program; or
      5. Termination of your use of this site or any related sites we may run;
    4. 5.4. Additional actions may be taken at the sole discretion of Framedia;
    5. 5.5. No refunds will be issued in the case of any corrective action for such violations.
    6. 5.6. You understand and agree that Framedia may at any time and for whatever reason it may deem proper, amend, revise or modify this Honor Code without further notice. It is the Account Holders responsibility to regularly check any changes to the Honor Code on this page. The Account Holders continued use of the Framedia service after any such changes constitutes acceptance of the new Honor Code.
  6. 6. Reserved Rights

    1. 6.1. You understand and agree that Framedia reserves the right, at its sole discretion but without obligation:
      1. to deny access to and/or discontinue the Services or any component thereof to anyone at any time;
      2. temporarily or permanently, without giving any reason and/or prior notice to you.
    2. 6.2. You hereby irrevocably agree, affirm and warrant to hold Framedia free from any liability, both under equity and the law, arising or that may arise out of any such denial of access to or the discontinuance of the Services.
    3. 6.3. You understand and agree that Framedia reserves the right, at its sole discretion but without obligation, to collect, screen, review, flag, filter, modify, block, refuse or remove any and/or all information provided by any user, explicitly or implicitly to and through the Services, including but not limited to hardware information, IP address, browser-type related information, cookies and the like. You hereby irrevocably agree, affirm and warrant to hold Framedia free from any liability, both under equity and the law, arising or that may arise out of any such collection, screening, review, flagging, filtering, modification, blocking, refusal or removal of any and/or all information provided by any user to and through the Services.
    4. 6.4. You understand and agree that Framedia reserves the right, at its sole discretion but without obligation, to enhance, improve, develop and introduce new features and functionalities to the Services at any time and without prior notice. You hereby understand, agree, and affirm that any such enhancement, improvement, development, new feature and/or new functionality to the Services shall form part of the Services as defined herein and thus shall likewise be covered by these Terms and their subsequent revisions or amendments, as applicable.
    5. 6.5. You understand and agree that Framedia reserves the right, at its sole discretion, to verify, check, cross-refer, validate, and ascertain the veracity and truthfulness of all information supplied by you.
    6. 6.6. You understand and agree that Framedia reserves the right, at its sole discretion but without obligation, to send you or cause to send you service updates and/or messages, including but not limited to onlinenotifications within the site, email and/or any data message transmission, informing you of enhancements, improvements, developments, features, functionalities, content updates, related and relevantproductpromotions, offers, advertisement and/or any other information relative to the Services and Framedia. Framedia makes no warranty of any kind, express or implied, for such service updates and/or messages, but you hereby agree to receive such service updates and/or messages and hold Framedia free from any liability and/or claims for indemnification or damages that may arise therefrom.
    7. 6.7. You understand and agree that Framedia reserves the right, at its sole discretion but without obligation, to set limitations to and charge fees and applicable taxes for the use of the Services, at any time and without prior notice. You further understand and agree that Framedia reserves the right, at its sole discretion and under no obligation, to change the applicable fees, taxes or charges levied for the use of the Services, at any time.
    8. 6.8. You understand and agree that Framedia reserves the right, at its sole discretion but without obligation, to change, modify or amend these Terms without prior notice. You hereby understand, agree, and affirm that it shall be your sole responsibility to be aware of any such change, modification or amendment, which shall take effect immediately upon publication the same way as theseoriginal Terms havebeen published, or upon its availability through the Services and which shall bind you as soon as you use or access the Services regardless of whether or not you are already aware of such change, modification or amendment.
    9. 6.9. You understand and agree that Framedia reserves the right, at its sole discretion but without obligation, to enforce the provisions of these Terms. Non-enforcement of any of the rights of Framedia under these Terms, under the law or under principles of equity shall not be construed as a waiver thereof. Likewise, no subsequent course of action by Framedia, or you, and/or by any third party, individually or collectively, shall not operate and shall not be construed to operate as abandonment, amendment, or modification of these Terms. You likewise hereby declare, affirm and undertake the sole obligation to indemnify Framedia or any third party for any damage Framedia or said third-party may sustain as a result of your use of the Services.
    10. 6.10. You understand and agree that Framedia reserves the right, at its sole discretion but without obligation, to limit the provision, availability, quantity and quality of any feature, product or service to any person or to anyone within the same geographic area, demographic profile, or any other market, commercial, and/or trading segments. You likewise understand and agree that Framedia reserves the right, at its sole discretion but without obligation, to administer and operate any and/or all of the Services from any or various locations outside the Republic of the Philippines. You further understand, agree and hold Framedia free from any liability arising therefrom, that not all features, products, or services discussed, referenced, provided or offered through or in the Services are available to all persons or in all geographic locations, or are appropriate or available for use outside the Republic of the Philippines. Any part or the whole of the Services or these Terms are void where prohibited. You hereby understand, agree, and undertake sole responsibility for your continued access to or use of the Services, as well as the results or consequences of such access and use, including the responsibility for compliance with applicable local laws and the sole liability for non-compliance or breach thereof.
  7. 7. Third-Party Content and Services

    1. 7.1. The Services may from time to time contain content provided by third-party services and resources. You acknowledge and agree that we are not responsible or liable for: the availability or accuracy, appropriateness, completeness or non-infringement of such Third-Party Services; or the content, products, or services available on or through such Third-Party Services. The availability of such services does not imply any endorsement by us.
    2. 7.2. You may not remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the application and the services or in any Third-Party Services.
    3. 7.3. Framedia makes no representation or warranties whatsoever about any service, content and/or any other resources provided by the Third Party.
  8. 8. Fees, Rates and Other Charges

    1. 8.1. Access to the Service requires you (or your Principal) to purchase an eLearning product. You agree to pay all fees, rates and other charges including applicable taxes, related to the Service and its use, as may be imposed by Framedia.
    2. 8.2. All Fees are non-refundable.
    3. 8.3. Fees and other charges, as may be relevant, shall be inclusive of all applicable Philippine taxes.
    4. 8.4. The value of the fees and charges may be revised from time to time as Framedia may deem necessary.
  9. 9. Dormancy

    1. 9.1. An account may be considered Pending (awaiting payment), Active or Expired.
    2. 9.2. Pending accounts are considered dormant if no payment is received within 7 days from account registration. Such accounts may be automatically removed from the system, requiring the user to re-register if they want to gain access to the Services.
    3. 9.3. An active account is one that has paid for access and has been used to log in to the system. It will be considered dormant when it does not have any user-initiated activity for a period of one (1) year from the last date of login.
    4. 9.4. An Expired account is one where the user no longer has access to any of the training content on the system and can no longer log in. All data in Expired accounts aredeleted once the business processes of Framedia which include the Expired account have completed.
    5. 9.5. In case of dormancy, Framedia shall have the discretion to close or purge the account in accordance with the applicable laws, rules and regulations.
  10. 10. Exclusion from liability

    1. 10.1. Framedia makes no warranty, express or implied, regarding the performance or functionalities of the Service offered hereunder.
    2. 10.2. The Service is offered on an AS IS, AS AVAILABLE basis without warranties of any kind, other than warranties that are incapable of exclusion, waiver or limitation under the laws applicable to these Terms. Without limiting the generality of the foregoing, Framedia makes no warranty (1) as to the content, quality or accuracy of data or information provided by Framedia hereunder or received or transmitted using the Framedia service functionalities; (2) as to any service or qualification obtained using the Service functionalities; (3) that the Service will be uninterrupted or error-free; or (4) that any particular result or information will be obtained.
    3. 10.3. Framedia shall not be liable for any loss, costs, compensation, damage or liability to the Account Holder or third party arising directly or indirectly as a result of any delay, interruption or termination of the Service transaction whether caused by administrative error, technical, mechanical, electrical or electronic fault or difficulty or any other reason or circumstance beyond Framedias control (including but not limited to acts of God, strike, labor disputes, fire, disturbance, any action or non-action of Government, atmospheric conditions, lightning, interference or damage by third parties or any change in legislation).
    4. 10.4. An Account Holder shall not hold Framedia responsible or liable for any loss or damage which he may incur or suffer directly or indirectly arising out of or in connection with the Services due to any reason whatsoever including but not limited to breakdown or malfunction of the computer, its terminal connection lines, data processing system or transmission line whether or not belonging to Framedia or any circumstances beyond Framedias control.
    5. 10.5. In the event of any unauthorized use of the Service, Framedia shall not be liable for any inconvenience or damage caused to the Account Holder or any third person. Moreover, Framedia shall not be liable for any failure by the Account Holder to avail itself of the Service for any reason whatsoever.
    6. 10.6. An Account Holder shall not hold Framedia liable or responsible for any loss or damage arising from possible data breach or exposure when using the Service together with their TIN or other personal information stored with the system.
    7. 10.7. LIMITATION OF LIABILITY. In the event of any action that the Account Holder may file against the Framedia, the Account Holder agrees that the Framedias liability shall not exceed One Thousand Pesos (P1,000.00) or the value of damages actually suffered by the Account Holder, whichever is lower.
    8. 10.8. This limitation shall not apply in cases of gross negligence or willful misconduct.
  11. 11. Data Privacy notice

    1. 11.1. As a condition for use of the service, you permit Framedia and its subsidiaries, affiliates, and authorized subcontractors to process and/or disclose personal data, including data that may be classified as personal information and/or sensitive personal information under the Data Privacy Act of 2012, to authorized agents, subsidiaries, affiliates, partners, and other authorized third parties, in order to undertake activities that may include, among others:
      1. Managing your account, providing customer care activities, monitoring the quality and security of the network, training the staff, and providing services in a timely and efficient manner, and ensuring your fair and lawful use of the products and services provided by Framedia Inc.;
      2. Conducting analysis for purposes of research and marketing initiatives, including the creation of your personal profile based on your data and other information that may be relevant for marketing and market research purposes;
      3. Framedia shall process personal information each time you use the Service, including (but not limited to) your computers IP address, your name and email address or any other personal information required to be processed to enable you to use the Service.
      4. Sending commercial and promotional communications, offers, surveys, customer-care, and after-sales communications, and any other messages;
      5. Sharing Account Holders personal data with any authorized third-party content providers or other authorized third-party services; and
      6. Any other processing or disclosure required under law or regulations.
    2. 11.2. Your personal data will be maintained in our databases throughout your availment of the service and for as long as necessary (typically up to 2 years) for the fulfillment of the purposes for which the information was obtained or for the establishment, exercise or defense of legal claims, or for legitimate business purposes, or as provided by law, rules and regulations. User-generated content is not shared or reused outside the learning platform unless required by law. You are afforded certain rights in relation to your data under the Data Privacy Act, including the right to object to processing, the right to access your data, the right to rectification of inaccurate data, and the right to erasure or blocking of data where consent was originally given to use it.
    3. 11.3. In order to provide the highest quality service, we may exchange anonymized and non-personally identifiable data with our business partners.
  12. 12. Confidentiality of Client Data

    1. 12.1. Framedia agrees to treat all personal data, training records, and account-related activity as confidential, and shall not disclose such information to third parties except as required by law, regulation, or operational necessity. Framedia does not require or store any client proprietary commercial data (such as business plans, IP, internal documentation), and therefore does not process or transmit such information under any circumstances.
  13. 13. Governing law

    1. 13.1. These terms and conditions shall be construed and governed under the laws of the Philippines.
  14. 14. Venue of litigation

    1. 14.1. The venue of all suits shall exclusively be at MuntinlupaCity only to the exclusion of all other courts.
  15. 15. Non-waiver of rights by Framedia

    1. 15.1. Failure, omission, or delay on the part of Framedia to exercise its right or remedies under these Terms shall not operate as a waiver. Any such waiver shall be valid only when reduced in writing and delivered to the Account Holder.
  16. 16. Separability clause

    1. 16.1. Should any term or condition in this Agreement be rendered void, illegal or unenforceable in any respect under any law, the validity, legality and enforceability of the remaining terms and conditions shall not be affected or impaired thereby.
  17. 17. Amendments

    1. 17.1. Framedia may at any time and for whatever reason it may deem proper, amend, revise or modify these Terms without further notice. It is the Account Holders responsibility to regularly check any changes to these Terms on this page. Framedia may at its absolute discretion prompt users to accept or reject revised Terms when logging in to the site. The Account Holders continued use of the Framedia service after any such changes constitutes acceptance of the new Terms. Failure to notify Framedia of Account Holders intention to terminate his/her account shall be construed as acceptance by the Account Holder of the amendments to these Terms.
  18. 18. Agreement

    1. 18.1. The Account Holder agrees to be bound by the Terms and Conditions, Terms of Service and the Privacy Policy governing the issuance and use of the Framedia service. Should the Account Holder disagree with the Terms and Conditions, Terms of Service and the Privacy Policy the Account Holder shall call or provide written notice of cancellation to Framedia. For the purpose of cancellation, email is sufficient.
    2. 18.2. If an account is canceled, all data therein shall continue to be processed until Framedia has completed its legitimate business purposes, after which all data will be securely deleted from the Framedia Systems and Databases.
  19. 19. Notices

    1. 19.1. All notice requirements shall be as stated in these Terms. If Framedia is required to send notice to you, it shall do so through email or registered mail which shall be sent to your registered address.
