Terms and Conditions of Use, Terms of Service, and Acceptable Use Policy

These Terms and Conditions (“Terms” or “T&C”) govern access to and use of LearnSpace, the online learning and training platform operated by Framedia Inc. (“Framedia”), accessible through https://redi.learnspace.ph and any related websites, applications, systems, content, learning materials, assessments, certifications, reporting tools, and services made available by Framedia (collectively, the “Services”), including but not limited to AML, ReDI, and other learning and development programs.

By accessing, registering for, purchasing, enrolling in, or using the LearnSpace platform and Services, the Client, Account Holder, and/or Learner (“User”) acknowledges that they have read, understood, and agree to be bound by these Terms and all applicable laws, rules, and regulations.

These Terms shall take effect upon the User’s acceptance or first use of LearnSpace and shall remain in effect until terminated by either the User or Framedia. Any provisions that, by their nature, are intended to survive termination shall remain in full force and effect notwithstanding such termination.

1. Definitions and Interpretation

1.1 Credits 

Credits refer to the pre-purchased allocation of User Accounts. One (1) Credit is equivalent to one (1) User Account. 

1.2 User Account 

A User Account refers to the learner access account used to log in to and complete courses available within the LearnSpace platform. User Accounts may be issued through individual enrollment or group enrollment. 

1.3 Learner 

A Learner refers to the individual assigned to a User Account and authorized to access the LearnSpace platform and its courses.

1.4 Access Duration 

Access Duration refers to the six-month validity period of an activated User Account, commencing from the date of enrollment or activation. 

1.5 Client 

Client refers to the company, organization, institution, or individual that purchases Credits, enrollments, or access to the LearnSpace platform. 

1.6 Account Holder 

Account Holder refers to the registered owner of a User Account or the authorized representative of a Client responsible for managing enrollments or licenses. 

1.7 Services 

Services refer to all software, systems, infrastructure, content, functionality, learning materials, certificates, support services, and related products provided through the LearnSpace platform. 

1.8 Framedia / LearnSpace 

Framedia refers to Framedia Inc., including its affiliates, officers, employees, agents, contractors, licensors, successors, and assigns. LearnSpace refers to the learning platform operated by Framedia. 

2. Credits Validity 

  1. Credits are valid for six (6) months beginning from the Client’s confirmed payment date.
  2. Credits must be utilized within the validity period for the enrollment of Learners into courses available on the LearnSpace platform.
  3. Unused Credits remaining after the expiration of the validity period shall automatically expire and become unusable unless an extension is formally approved by Framedia.
  4. The validity period of Credits is separate and independent from the Access Duration of activated User Accounts.
  5. Framedia reserves the right to verify all enrollment activity associated with Credits purchased by the Client.  

3. User Account Subscription Period 

  1. Each User Account shall remain active for a period of six (6) months commencing from the date of enrollment or registration of the Learner.
  2. User Account validity is independent from the Credits validity period.
  3. Learners may still be enrolled on the final day of the Credits validity period provided unused Credits remain available.
  4. Once activated, User Accounts shall continue to remain active for the full Access Duration unless suspended or terminated pursuant to these Terms.
  5. User Accounts are non-transferable and may only be assigned to one individual Learner.  

4. Credits Extension Option 

  1. Clients with remaining unused Credits upon expiration may request a one-time extension of one (1) month, subject to Framedia approval.  
  2. An extension fee of PHP 50.00 per remaining unused Credit shall apply.  
  3. Extensions apply solely to unused Credits and shall not affect or extend existing activated User Accounts.  
  4. Framedia reserves the right to approve or deny extension requests at its sole discretion.  

5. General Terms of Service

  1. Framedia reserves the right to modify, suspend, discontinue, restrict, or terminate any part of the Services at any time without prior notice.  
  2. Service availability targets are representative only and shall not constitute a guarantee of uninterrupted access. 
  3. Framedia reserves the right to audit, verify, monitor, or investigate account activities for compliance, security, operational, or regulatory purposes.  
  4. Framedia may impose limitations, restrictions, or conditions on platform usage, account access, or features at its sole discretion.  
  5. Framedia may deny, suspend, restrict, or terminate access to any User Account if:
  • the User violates these Terms;
  • fraudulent, abusive, or suspicious activity is detected;
  • required information cannot be verified;
  • platform misuse occurs;
  • applicable laws or regulations require such action.  

6. User Obligations 

By using the LearnSpace platform, Users agree that they shall: 
  1. Use the Services solely for lawful and authorized purposes.  
  2. Provide complete, accurate, and truthful information during registration and course participation.  
  3. Maintain the confidentiality and security of account credentials.  
  4. Not share User Accounts, login credentials, or platform access with other individuals.  
  5. Not engage in unauthorized copying, reproduction, distribution, resale, sublicensing, modification, or commercial exploitation of platform content.  
  6. Not attempt to gain unauthorized access to systems, databases, servers, or infrastructure associated with the Services.  
  7. Not use automated devices, bots, spiders, scrapers, or similar technologies to access, monitor, or reproduce platform content.  
  8. Not upload, transmit, or distribute unlawful, malicious, defamatory, infringing, abusive, obscene, fraudulent, or harmful material.  
  9. Comply with all applicable laws, regulations, and policies while using the Services.  
  10. Use their true and legal first and last names when generating certificates or official records.  

7. Honor Code and Academic Integrity 

By enrolling in any course or training program through LearnSpace, Users agree that they shall: 
  1. Complete all assessments honestly unless collaboration is expressly permitted.  
  2. Maintain only one active User Account.  
  3. Refrain from sharing examination answers, assessment materials, or certification content in a manner that compromises the integrity of the platform.  
  4. Avoid conduct intended to dishonestly improve their own results or those of others.  
  5. Use accurate personal information for all certificates and completion records.  

Framedia reserves the sole right to determine whether a violation of the Honor Code has occurred. 

Corrective actions may include: 
  • invalidation or revocation of certificates;  
  • removal from courses or programs;  
  • suspension or permanent termination of User Accounts;  
  • restriction from future enrollments;  
  • reporting to applicable authorities or regulators when required.  

No refunds shall be issued for actions arising from Honor Code violations.

8. Intellectual Property Rights 

  1. All platform content, learning materials, software, branding, graphics, videos, assessments, systems, trademarks, and related materials are owned by or licensed to Framedia and are protected under applicable intellectual property laws.  
  2. Users acquire no ownership rights through use of the Services.  
  3. Except as expressly authorized, Users may not reproduce, distribute, publish, modify, transmit, display, reverse engineer, or create derivative works from any part of the Services.  
  4. Certificates issued by Framedia remain subject to validation and verification by Framedia.  

9. Fees, Payments, and Refunds 

  1. Access to the LearnSpace platform requires payment of applicable fees and charges.  
  2. All fees are non-refundable unless otherwise expressly approved in writing by Framedia.  
  3. Fees include applicable Philippine taxes unless otherwise stated.  
  4. Framedia reserves the right to revise pricing, taxes, fees, or billing structures at any time.  
  5. Failure to complete payment obligations may result in suspension or termination of access.  

10. Dormancy and Expiration 

  1. Accounts may be classified as Pending, Active, Dormant, or Expired.  
  2. Pending accounts with no payment within seven (7) days from registration may be automatically removed.  
  3. Active accounts without user-initiated activity for one (1) year may be classified as Dormant.  
  4. Expired accounts are accounts without active course access or subscription entitlement.  
  5. Framedia reserves the right to archive, purge, deactivate, or remove dormant or expired accounts and associated data subject to applicable laws and operational requirements.  

11. Data Privacy and Consent 

  1. Personal information processed may include names, email addresses, IP addresses, login activity, assessment records, certificates, and other information necessary for the operation of the Services.  
  2. Framedia shall process personal information in accordance with the Data Privacy Act of 2012 and applicable Philippine laws and regulations.  
  3. Users acknowledge that certain information may be disclosed when required by law, lawful order, regulatory authority, or government agency.  
  4. Users retain rights provided under applicable data privacy laws, including rights of access, correction, rectification, and objection where applicable.  
  5. By using the Services, Users authorize Framedia and its authorized affiliates, subcontractors, partners, service providers, and regulators to collect, process, store, disclose, and manage personal information as necessary to:
  • provide and administer the Services;
  • manage accounts and enrollments;
  • generate certificates and reports;
  • maintain security and platform integrity;
  • conduct analytics, audits, and service improvements;
  • send operational, regulatory, promotional, or support communications;
  • comply with legal and regulatory obligations.  

12. Reserved Rights 

Framedia reserves the right, at its sole discretion and without obligation, to: 
  1. modify, improve, suspend, discontinue, or terminate any aspect of the Services;  
  2. monitor, review, investigate, or verify account activity;  
  3. restrict access to any user, organization, geographic area, or market segment;  
  4. refuse or revoke certificates or course completion records;  
  5. remove, block, or restrict content or accounts that violate these Terms;  
  6. revise these Terms at any time without prior notice.  

Continued use of the Services after any amendment constitutes acceptance of the revised Terms. 

13. Third-Party Services and Content 

The Services may contain links, integrations, or content provided by third parties. 

Framedia does not warrant or assume responsibility for the accuracy, legality, availability, security, or reliability of third-party content or services. 

Use of third-party services shall be at the User’s own risk.

14. Disclaimer of Warranties 

The Services are provided on an “AS IS” and “AS AVAILABLE” basis. 

Framedia makes no warranties, express or implied, including but not limited to warranties of: 
  • merchantability;  
  • fitness for a particular purpose;  
  • uninterrupted availability;  
  • security;  
  • accuracy;  
  • reliability;  
  • error-free operation.  

Framedia does not guarantee that the Services will be uninterrupted, secure, or free from defects or vulnerabilities.

15. Limitation of Liability 

  1. Framedia shall not be liable for any indirect, incidental, consequential, punitive, exemplary, or special damages arising from the use of or inability to use the Services.  
  2. Framedia shall not be liable for interruptions, delays, data loss, system failures, unauthorized access, malware, force majeure events, or circumstances beyond its reasonable control.  
  3. Users assume full responsibility for the use of the Services and any consequences arising therefrom.  
  4. In all cases, Framedia’s aggregate liability shall not exceed One Thousand Philippine Pesos (PHP 1,000.00) or the actual damages proven by the User, whichever is lower.  

16. Indemnification 

Users agree to indemnify and hold harmless Framedia, its officers, employees, affiliates, contractors, licensors, and agents from any claims, liabilities, damages, losses, costs, or expenses arising from: 
  • violation of these Terms;  
  • misuse of the Services;  
  • infringement of intellectual property or third-party rights;  
  • unlawful conduct by the User.  

17. Governing Law and Venue 

  1. These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines.
  2. Any dispute arising from these Terms or the Services shall be exclusively filed before the proper courts of Muntinlupa City, Philippines.

18. Separability Clause 

If any provision of these Terms is declared invalid, illegal, or unenforceable, the remaining provisions shall remain valid and enforceable. 

19. Non-Waiver 

Failure by Framedia to enforce any provision of these Terms shall not constitute a waiver of any rights or remedies.

20. Agreement and Acceptance 

By purchasing Credits, enrolling Learners, accessing the LearnSpace platform, or using the Services, the Client, Account Holder, and Learners acknowledge that they have read, understood, and agreed to be bound by these Terms and Conditions.
